1. Agreement to Terms

These Terms of Service ("Agreement") are entered into by and between RegMapAI, Inc. ("Company," "we," "us," or "our") and you or the entity you represent ("User," "you," or "your"). This Agreement governs your use of the RegMapAI platform, including its website, application programming interfaces (APIs), and all related services ("Services").

By accessing, using, or registering for the Services, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement. If you do not agree, please do not use the Services. Your use of the Services constitutes acceptance of this Agreement.

2. Use License and Restrictions

RegMapAI grants you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes, in accordance with the terms of this Agreement and the Service Plan you have purchased.

Prohibited Uses: You may not:

• Use the Services for any unlawful purpose or in violation of any applicable laws
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Reproduce, modify, distribute, or create derivative works of the Services
• Use the Services to develop competing products or services
• Access the Services for benchmarking or competitive analysis
• Attempt to gain unauthorized access to the Services or its infrastructure
• Conduct security testing without prior written consent
• Scrape, crawl, or bulk download data from the Services
• Use the Services to store, transmit, or process illegal content
• Violate the rights of third parties or engage in harassment or abuse

3. Service Description

RegMapAI provides an automated network compliance mapping and continuous regulatory auditing platform. The Services include:

• Network asset discovery and inventory management
• Regulatory standards mapping (15+ frameworks)
• Continuous compliance monitoring and alerts
• AI-driven compliance agent and recommendations
• Audit report generation and evidence collection
• Normative standards database and APIs
• Customer support and professional services (as specified in your plan)

The specific features and capabilities available to you depend on your Service Plan. We reserve the right to modify, suspend, or discontinue any feature with 30 days' notice.

4. User Accounts and Responsibilities

Account Registration: You are responsible for providing accurate, complete, and current information during registration and maintaining its accuracy. You are responsible for all activity on your account and for keeping your password confidential.

Authorized Users: You may grant access to authorized users within your organization. You are responsible for their actions and compliance with this Agreement. Unauthorized account sharing or transfer is prohibited.

Administrator Responsibilities: If you are an account administrator, you assume full responsibility for managing user access, configuring compliance standards, and ensuring compliance with applicable laws.

Data Responsibility: You are solely responsible for the data you input into the Services, its accuracy, quality, and compliance with applicable laws. You represent and warrant that you have authority to provide data to RegMapAI and that doing so does not violate anyone's rights.

5. Intellectual Property Rights

RegMapAI Property: All content, features, functionality, software, databases, APIs, and other intellectual property in the Services are owned by RegMapAI or its licensors. These are protected by copyright, trademark, and other intellectual property laws.

Your Content: You retain all rights to data and information you provide to RegMapAI ("Your Data"). By providing Your Data, you grant RegMapAI a worldwide, royalty-free license to use, process, analyze, and display Your Data to provide the Services, including for training our AI compliance agent and generating anonymized insights.

Feedback: Any feedback, suggestions, or improvements you provide regarding the Services become the property of RegMapAI and may be used without attribution or compensation.

No License Granted: Except for the limited use license granted herein, nothing in this Agreement grants you any right, title, or interest in the Services or any RegMapAI intellectual property.

6. Fees and Payment

Pricing: Your fees are based on the Service Plan selected and the number of assets or users, as stated in your order form or invoice. Prices are subject to change with 30 days' notice for existing customers.

Billing: Fees are billed monthly or annually, as selected. Billing occurs at the beginning of each billing period. You are responsible for providing valid payment information and keeping it current.

Payment Terms: Payment is due within 30 days of invoice unless otherwise specified. Late payments may result in service suspension. Interest on past-due amounts accrues at 1.5% per month or the maximum rate permitted by law, whichever is lower.

Taxes: Fees exclude all applicable taxes. You are responsible for all sales, use, VAT, GST, and similar taxes. RegMapAI will collect and remit taxes as required by law.

No Refunds: All fees are non-refundable except as required by law. If you terminate early, you are responsible for all fees through the end of the current billing period.

7. Warranties and Disclaimers

Service Availability: RegMapAI maintains a 99.9% uptime SLA for our production infrastructure during any calendar month. Maintenance windows and issues caused by external factors (internet, cloud providers) are excluded. Details available in our SLA documentation.

Data Accuracy: While we strive for accuracy, compliance mapping involves interpretation of complex regulations. RegMapAI does not guarantee that recommendations or compliance assessments are 100% accurate or complete. You should validate findings with regulatory experts and legal counsel.

Disclaimer of Other Warranties: EXCEPT AS EXPRESSLY STATED, REGMAPIA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGMAPIA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, business opportunities, or goodwill
• Cost of substitute goods or services
• Damages resulting from use or inability to use the Services

RegMapAI's total liability to you shall not exceed the amount you paid for the Services in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow limitation of liability for certain damages, so this limitation may not apply to you in full.

9. Indemnification

You agree to indemnify, defend, and hold harmless RegMapAI and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Services in violation of this Agreement
• Your violation of any applicable law or regulation
• Your violation of third-party rights
• Your Data or how you use it
• Actions of authorized users on your account

RegMapAI will provide prompt notice of such claims and reasonable cooperation in your defense, provided you control the defense and settlement.

10. Termination

Termination for Convenience: You may terminate this Agreement by closing your account at any time. Termination is effective at the end of the current billing period, and you remain liable for fees through that date.

Termination for Cause: RegMapAI may terminate or suspend your account immediately if you: (a) violate this Agreement, (b) engage in illegal activity, (c) fail to pay fees within 15 days of notice, or (d) pose a security or legal risk to RegMapAI or other users.

Effect of Termination: Upon termination, your license to use the Services ends, and you must cease all use. We will delete Your Data within 30 days unless retention is required by law. Sections that by their nature should survive termination (such as Intellectual Property, Limitation of Liability, and Indemnification) shall survive.

11. Modifications to Service

RegMapAI may modify, suspend, or discontinue any feature or the Services at any time. We will provide 30 days' notice of material changes that negatively affect Service usage. If material adverse changes are made, you may terminate your account for a pro-rata refund of unused fees.

We may also update this Agreement at any time. Continued use after posting constitutes acceptance of changes. Material changes will be communicated via email.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the federal and state courts located in San Francisco County, California.

13. Dispute Resolution

Informal Resolution: Before initiating legal proceedings, you agree to attempt to resolve disputes informally by contacting RegMapAI at [email protected] with a detailed description of the dispute.

Arbitration: If informal resolution fails, any dispute arising from or relating to this Agreement shall be resolved through binding arbitration administered by JAMS in San Francisco. Arbitration shall be conducted by a single arbitrator following JAMS Comprehensive Arbitration Rules and Procedures. Each party bears its own costs.

Exceptions: Either party may pursue injunctive or other equitable relief in court for intellectual property infringement or breaches of confidentiality obligations.
